BioMark has activities and relationships in more than one jurisdiction. The locations where Website information is stored or processed depend on the hosting, email, newsletter, analytics, and other service providers used. Before publication, BioMark will verify these providers and update this Policy with any material location or transfer information required by applicable law.
For privacy questions or requests, use the contact details in Section 13.
Québec-specific transparency: This Policy explains, in clear language, the personal information collected through the Website, the purposes and means of collection, applicable rights, and privacy contact. Where required, BioMark will also identify third parties collecting information on their behalf, recipients or categories of recipients, and the possibility of communication outside Québec.
2. Scope and whose information we collect
We may collect personal information about:
Website visitors;
People who contact us (patients or caregivers making a general inquiry, clinicians, researchers, partners, investors, media, suppliers, and job applicants);
Newsletter and update subscribers; and
Users who comment on or otherwise interact with Website content, if that feature is enabled.
The Website is intended for a professional and general-information audience and is not directed at children. We do not knowingly collect personal information from children through the Website. If you believe a child has submitted personal information, contact us using Section 13 and we will assess the request and act as required by applicable law.
Important: Submitting a form on this Website does not create a patient relationship, order a test, or replace medical advice. Do not send sensitive clinical records or detailed health information through general Website forms unless we expressly ask for that information through a secure channel.
3. Personal information we collect
Website forms and purposes. Based on the forms currently described by BioMark, the Website may collect first name, last name, email address, telephone number, company, job title, and the content of a message. These details are used to respond to requests for information and follow up on professional inquiries. If a person separately and voluntarily opts in, BioMark may also use the email address to send newsletters and company updates. Refusing newsletter consent must not prevent a person from submitting a general inquiry.
“Personal information” means information that identifies you or can reasonably be used to identify you.
3.1 Information you provide
Depending on how you use the Website, this may include:
name, organization, role, and contact details (email, phone, mailing address);
contents of messages sent through general inquiries or sign up for BioMark news;
newsletter preferences and confirmation of subscription (we use double opt-in where required);
credentials or profile details if you create an account or leave a comment; and
any other information you choose to include in an upload or free-text field.
3.2 Information collected automatically
When you visit the Website, we and our providers may collect:
IP address, approximate location derived from IP, device and browser type, language, referring URL, pages viewed, timestamps, and clickstream data;
cookie and similar-technology identifiers (see our Cookie Notice); and
aggregated or de-identified usage statistics.
3.3 Information from other sources
We may receive information from:
publicly available sources (for example, securities filings, professional directories, or your organization’s website);
service providers that support analytics, hosting, email delivery, or security; and
events, conferences, or business partners, where you have provided your details to be shared with us.
We do not sell personal information.
4. How we use personal information
We may use personal information collected through the Website to:
operate, secure, and improve the Website;
respond to inquiries and provide information you request;
send newsletters and corporate updates you subscribe to, and manage opt-outs;
communicate with investors, analysts, media, clinicians, researchers, and partners;
consider job applications and related recruiting steps;
understand how the Website is used and measure content performance;
detect, prevent, and investigate fraud, abuse, or security incidents;
comply with law, regulation, stock-exchange rules, and lawful requests; and
establish, exercise, or defend legal claims, or support a corporate transaction (see Section 6).
We determine the purposes of collection before collecting personal information and collect only information necessary for those purposes. We use personal information for the purposes described in this Policy. We do not use it for a new purpose unless permitted by applicable law and, where required, we first obtain consent. Where consent is required, it must be clear, free, informed, specific to each purpose, and requested separately from other information.
Applicable legal requirements vary by jurisdiction. In Québec, BioMark complies with the Act respecting the protection of personal information in the private sector, as amended by Law 25, where applicable. We rely on consent or another basis permitted by applicable law for each processing activity. The concept of “legitimate interests” in other privacy regimes does not override Québec statutory requirements.
5. Cookies and similar technologies
We use cookies and similar technologies to run the Website, remember preferences, understand traffic, and — if enabled — support advertising or social features.
Details about the categories of cookies, their purposes, and available choices are provided in our Cookie Notice. You can also control cookies through your browser. Blocking some cookies may limit Website features.
Where consent is required for non-essential cookies or similar technologies, BioMark will obtain valid consent before activating them and will provide an appropriate way to change or withdrawn preferences.
6. When we share personal information
BioMark may disclose Website personal information with:
Affiliates and group companies, including BioMark Diagnostic Solutions Inc. and other BioMark entities, for the purposes in this Policy;
Service providers that host the Website, deliver email, provide analytics, security, IT, professional advisors (legal, audit, accounting), or recruiting support, under appropriate contracts;
Business and research collaborators, when needed to respond to a partnership, clinical, or scientific inquiry you initiated;
Regulators, exchanges, courts, and law enforcement, when we believe disclosure is required or permitted by law; and
A buyer or successor, if BioMark or its assets are involved in a merger, acquisition, financing, reorganization, or similar transaction. We will require the recipient to protect the information consistent with this Policy where required by law.
We may share aggregated or de-identified information that does not reasonably identify you.
We do not share personal information for third-party cross-context behavioral advertising as a “sale” or “share”. If that practice changes, we will update this Policy and provide any required opt-out.
Research samples and information shared with research collaborators are governed by the applicable research protocols, agreements, and legal requirements. Such research arrangements are distinct from the Website contact and newsletter processes.
7. Cross-border transfers
BioMark is based in Canada. Personal information collected through our website, including names, professional titles, organization names, email addresses, and telephone numbers, may be stored or processed in Canada, the United States, or other jurisdictions where our service providers operate.
BioMark uses third-party service providers to host and support the Website and to manage the information collected through it. Depending on the services used, personal information may be processed or accessed from outside Canada.
Personal information processed in another jurisdiction may be subject to the laws of that jurisdiction, including lawful requests for access by public authorities. Certain service providers subject to United States jurisdiction may be required to disclose information in response to valid legal process under applicable United States law, including the Stored Communications Act, as amended by the CLOUD Act (18 U.S.C. § 2713). This does not mean that public authorities have unrestricted access to such information.
BioMark does not sell personal information collected through its website. Where required by applicable law, BioMark will conduct the necessary privacy impact assessments, enter into appropriate written agreements, and implement applicable contractual or other safeguards before transferring personal information to another jurisdiction.
Individuals may contact BioMark’s Privacy Officer for further information about international data processing, the safeguards in place, and their applicable privacy rights.
BioMark will update this disclosure if its material data-processing locations or arrangements change.
8. Retention
BioMark will retain personal information only for as long as necessary for the purposes for which it was collected, subject to legal requirements. The following principles apply:
as long as needed to complete your request or manage an ongoing relationship;
for newsletter records until you unsubscribe, plus a short period to honor the opt-out;
for recruiting purposes, for as long as necessary the recruitment process and managing related recruitment activities, unless a longer retention period is required by law or you consent to BioMark retaining your information for consideration for future employment opportunities;
as required by tax, securities, medical-device, research, or other legal obligations; and
for a reasonable period to resolve disputes and enforce our agreements.
When personal information is no longer necessary for the purposes for which it was collected, BioMark will securely destroy it or anonymize it, in accordance with applicable law.
9. Security
BioMark implements administrative, technical, and physical safeguards appropriate to nature and sensitivity of the personal information it collects, including access controls and appropriate security measures for its service providers. No method of transmission or storage is completely secure, and BioMark cannot guarantee absolute security.
BioMark maintains procedures for responding to confidentiality incidents and a register of such incidents, in accordance with applicable law. In Québec, where a confidentiality incident presents a risk of serious injury, BioMark will notify the Commission d’accès à l’information du Québec and affected individuals as required by law and take reasonable measures to reduce the risk of harm and prevent similar incidents.
BioMark documents and implements privacy governance policies and practices proportionate to its activities. These address the retention and destruction of personal information, personnel roles and responsibilities, and the handling of privacy requests and complaints. The person responsible for the protection of personal information oversees these policies and practices. Publishing this Policy alone does not satisfy BioMark’s operational privacy and security obligations.
Individuals should not submit medical records or other sensitive health information through general Website forms. If such information is inadvertently submitted, please contact BioMark using the contact details in Section 13. BioMark will assess the information received and, where appropriate and legally permitted, securely delete it or direct the individual to an appropriate channel. Any such information will be handled in accordance with applicable law and BioMark’s internal privacy procedures.
10. Your privacy rights
Your rights depend on where you live and which laws apply. Subject to applicable legal requirements and exceptions, you may have the right to:
Access the personal information we hold about you;
Correct inaccurate, incomplete or outdated personal information;
Withdraw consent where processing is based on consent (withdrawal does not affect prior lawful use);
Unsubscribe from marketing emails (every marketing message includes an unsubscribed link; you can also email us);
Request deletion of personal information where permitted by applicable laws, and
Submit a complaint to the relevant privacy regulator.
Québec: Subject to statutory exceptions, you may request access to personal information held about you and request correction of inaccurate, incomplete, or ambiguous information. You may withdraw consent where processing relies on consent. Where the legal conditions are met, you may request that computerized personal information collected from you be provided in a structured, commonly used technological format, and you may request its transfer to another organization where the law provides this right. You may also have rights concerning de-indexation or cessation of dissemination in the circumstances provided by law. Requests will be handled within applicable legal deadlines.
When personal information is collected through a technological means, BioMark will provide the required collection information in clear language, including the purposes of collection, the means used, access and correction rights, and the right to withdraw consent. Where applicable, BioMark will also identify the third parties or categories of third parties for whom collection is carried out, the recipients or categories of recipients, and the possibility of communication outside Québec.
We may need to verify your identity before fulfilling a request. We may decline a request where an exception applies (for example, legal privilege, another person’s privacy, or information we must retain).
To exercise your privacy rights or submit a privacy-related complaint, please contact BioMark’s Privacy Officer using the contact details in Section 13. We will assess and respond to requests in accordance with applicable law.
11. Email and other communications (CASL)
If you subscribe to BioMark news or otherwise consent, we may send you electronic communications about the company, science, and events. We use confirmation of email where required. You can unsubscribe at any time. Transactional or relationship messages (for example, answering a question you sent us) may still be sent.
12. Third-party links
The Website may link to exchanges, SEDAR+, publications, partner sites, social networks, or other third parties. BioMark does not control those websites or services and is not responsible for their privacy practices. Review the applicable privacy notice before providing personal information to a third party.
